Sona BLW Precision Forgings (Sona Comstar) has dismissed allegations of coercion and misconduct by Rani Kapur, mother of late chairman Sunjay Kapur, as “baseless” and “legally untenable.” Kapur, in a letter to the board and SEBI on July 24, sought to defer the company’s Annual General Meeting (AGM) scheduled for July 25, alleging she was coerced into signing documents during her mourning period following Sunjay’s sudden death on June 12, 2025, in the UK. She claimed to be the majority shareholder via her late husband Surinder Kapur’s 2015 will, accusing the board of attempting to “usurp the family legacy” by appointing directors, including Sunjay’s wife, Priya Sachdev Kapur, without her consent.
Sona Comstar, in a regulatory filing, clarified that Rani Kapur has not been a shareholder since at least 2019, with Sunjay Kapur declared the sole beneficial owner of the RK Family Trust, holding a 28.02% stake through Aureus Investments Pvt Ltd (AIPL). The company, publicly listed since 2021 with 71.98% public shareholding, emphasized it is not family-run, with a board of six independent and two executive directors unaffiliated with the Kapur family.
Priya Sachdev Kapur’s appointment as a non-executive director and Jeffery Mark Overly’s as chairman on June 23 were ratified by 98.9% and 99.4% of shareholders, respectively, following legal compliance. The company denied obtaining any documents from Rani Kapur post-Sunjay’s death, rejecting her coercion claims.
The AGM proceeded after legal counsel confirmed no grounds for deferral, despite Kapur’s late request. The dispute, which caused a 3% share price drop on July 25, has raised concerns about governance and potential legal battles, with experts suggesting Rani Kapur may pursue probate of her husband’s will to claim ownership. Sona Comstar warned that such “false narratives” harm its 400,000 public shareholders, reaffirming its commitment to transparency.
