Sona BLW Precision Forgings Ltd. (Sona Comstar) proceeded with its 29th Annual General Meeting (AGM) on July 25, 2025, despite a fervent request from Rani Kapur, mother of late chairman Sunjay Kapur, to postpone the meeting. Rani Kapur, former chairperson and majority shareholder through her late husband Dr. Surinder Kapur’s 2015 will, alleged coercion, misuse of documents, and unauthorized board appointments following her son’s “sudden and suspicious” death on June 12, 2025. The dispute triggered a 3% drop in Sona BLW shares, closing at Rs 475.85 on the BSE.
In a letter dated July 24 to the board, shareholders, and SEBI, Rani Kapur claimed she was pressured to sign documents without explanation during her mourning period, stating, “I am fully convinced that the documents executed by me under coercion and duress are being misused.” She objected to a resolution to appoint directors, including Priya Sachdev Kapur, Sunjay’s widow, as a Non-Executive Director, asserting that no one has her consent to represent the Kapur family. “I am the sole authority to represent the interests of the family in the Sona Group,” she wrote, demanding a two-week AGM deferment to review company affairs.
Despite her plea, the AGM proceeded, with Priya Sachdev Kapur, appointed as an Additional Non-Executive Director on June 23, reportedly attending. Rani Kapur’s lawyer, Vaibhav Gaggar, told ANI that Sunjay’s death during a polo match in the UK, reportedly from a heart attack possibly triggered by swallowing a bee, “did not seem natural at all,” raising concerns about transparency.

Sona Comstar, founded in 1995, has seen its stock plummet 36% from a 52-week high of Rs 768.65, amid this governance crisis and broader auto sector challenges. The board, now led by Chairman Jeffrey Mark Overly, has not publicly responded to Rani Kapur’s allegations. Investors remain wary as the family feud threatens the company’s stability, with no Kapur family member currently on the board.
