Mistry Makes His Move: Caveat Filed Against Tata Trusts Decision

Mehli files caveat to block board removal.

Mehli Mistry has filed a caveat with the Charity Commissioner to ensure he’s heard before any approval of his removal from Tata Trusts’ board, sources revealed. The move challenges an October decision by trustees Venu Srinivasan, Noel Tata, and Vijay Singh to deny his life trusteeship renewal. Tata Trusts must secure Charity Commissioner sanction for board changes within 90 days, giving Mistry a window to contest. He cites an October 24 resolution granting present trustees indefinite reappointment “in accordance with law.”

The resolution states: “On expiry of tenure, any trustee will be reappointed without limit to the period of such re-appointment.” Mistry argues this guarantees his continuity, especially as a long-serving member tasked with Ratan Tata’s legacy. Noel Tata chairs the trust, with Srinivasan and Singh as vice chairmen. The ouster stems from internal rifts over nominating a Tata Sons director, a key strategic role.

Experts warn the conflict could delay major decisions at Tata Sons, the group’s holding company. Shriram Subramanian of InGovern said while day-to-day operations remain unaffected, strategic moves may stall. Abizer Diwanji of Neostrat Advisors noted Tata Trusts’ governance is stable in the interim, even if contested. The dispute highlights tensions post-Ratan Tata’s passing.

Mistry’s caveat aims to force a formal hearing before the Commissioner, potentially overturning the ouster. Sources say he views the resolution as binding, protecting life trustees from arbitrary removal. The Charity Commissioner’s ruling will be pivotal in resolving the boardroom battle.

As Tata Trusts manages billions in philanthropy, this rift risks reputational damage. The outcome will shape leadership dynamics and influence Tata Sons’ future direction. For now, Mistry’s legal maneuver keeps the boardroom drama alive.
